Notable Contributions:
- Advised a Japanese conglomerate on the aspects of COMPETITION LAW and the concept of ‘SINGLE ECONOMIC ENTITY’ and its application in Indian competition law. In the transaction size of USD 40 Million, the advice on competition laws was followed by the restructuring of its Indian subsidiary companies, the joint venture agreements and the formation of the new joint venture companies so as to claim the benefit of a Single Economic Entity.
- Advised companies like TELEMACHUS US (5 joint ventures), AISAN INDUSTRY CO., TOYOTA TSUSHO, RELOCATION INC., TORAY INC., JBM, ASAHI DENSO CO., and others in the formation of their Joint ventures in India with Indian companies. We represented the Japanese companies.
- Advisory to NIPPON SIGNAL on legal aspects of the Anti-TRUST laws in India. The advice was followed by the formation of an exit strategy from the Joint venture and the sale of shares by the Japanese company (deal size INR 150 Cr).
- Advise and strategized for exiting the Joint ventures, successful termination of the Joint venture agreements and execution of the share purchase agreements for clients like NIPPON SIGNAL, ALPINE, AKITA FINE BLANKING, CHIYODA CORPORATION, ASAHI DENSO MULTILINK, EN JAPAN, CROSS MARKETING and others.
- Advisory and documentation of share purchase agreements (SPA), and business transfer agreements (BTA) for companies like TELEMACHUS US, ASAHI DIAMOND, ASAHI DENSO and CROSS MARKETING.
- Advisory and documentation for companies like YAMASHITA RUBBER, ASHIMORI CO, KADENCE, TAKENAKA CORPORATION, AHRESY CORPORATION etc., in raising External Commercial Borrowings (ECB) loans.
- Incorporation of subsidiary companies for MURAKAMI, TOYOTA TSUSHO, ASICS, TORAY, RELOCATION, SHINICHI KATO LLP, AKITA FINANCE, MURATA, ASTI, AISIN, PYRAMID RELO, MEIKO ELECTRONICS, OTSUKA FOODS, JFE, NAKAGAWA, and others.
- Formation of liaison office/branch offices/project offices for companies like SHINRYO CORPORATION, TOA ENGINEERING, IHI INFRASTRUCTURE, NTN, KOMATSU NTC, and others.
- Advisory to a company proposing to bid for the Metro rail projects in India and strategising on forming a Joint venture company in India.
- Advisory to new-age companies like MOBIKWIK, OLYMPUS, CO FORGE, TELEMACHUS, NEO WEALTH MANAGEMENT etc., in structuring their business and services of online payment solutions. Advised and assisted various PE Funds, and Wealth management companies like NEO WEALTH MANAGEMENT, EDELWEISS group, AMEX Capital in the matters of securities laws, portfolio management, share purchase transactions, and obtaining approval from SEBI.
- Assisted and advised SPICE TELECOM, SPICE MOBILES, and SONEAR INDUSTRIES in preparing and filing a prospectus with SEBI to raise public capital.
- Assisted and handled the winding up (as per the Insolvency Laws) of the subsidiary companies of KOMATSU CORPORATION, FUJIKURA CORPORATION, TOYOTA TSUSHO, SIMMONS BEDDING and others as per IBC laws.
- Advised companies like Toppan Cosmo, Nittori, and ACTI on getting Indian certifications from the Bureau of Indian Standards (BIS).
- Advised and assisted the companies in getting licenses and registrations from the Food Safety and Standards Authority of India (FSSAI), Legal Metrology Registration, and Compliance with the E-waste Management Rules.
- Represented an Aviation company to acquire a majority stake in an Indian non-scheduled operator (names are confidential).
